BOTPRESS MANAGED PLAN IP AND LICENSING ADDENDUM

This Managed Plan IP & Licensing Addendum (the “Addendum”) is incorporated into the Botpress Terms of Service located at https://botpress.com/legal/terms-of-service (the “Terms”) and forms part of the Agreement between Botpress and Customer (as those terms are defined in the Terms).
This Addendum applies only where Customer purchases Managed Plan services under a Subscription Order Form, Proposal, or Statement of Work (each, an “Order Form”) that references this Addendum.
In the event of a conflict between this Addendum and the Terms, this Addendum controls solely with respect to the Managed Plan Services and Customer Bot Deliverables.
Capitalized terms not defined in this Addendum have the meanings given to them in the Terms. In this Addendum:
“ADK” means Botpress’ agent development kit, including all associated tooling, frameworks, libraries, SDKs, templates, and related materials made available by Botpress.
“Managed Plan Services” means the Professional Services and/or other services provided by Botpress under a Managed Plan, including building, configuring, maintaining, testing, and deploying a Customer Bot using the ADK. For clarity, Managed Plan Services constitute Professional Services for purposes of the Terms. 
“Customer Bot Deliverables” means the bot configuration, workflows, prompts, logic, scripts, and source code created by Botpress specifically for Customer under the Managed Plan Services, excluding Botpress Background IP and Public Integrations.
“Customer Materials” means any material, information, content, document, data, specification, requirement, instruction, system access detail, API, credential, branding, or other item that Customer provides or makes available to Botpress in connection with the Managed Plan Services, including any Customer Data, but excluding Botpress Background IP.
“Public Integration” means an integration, connector, or code component intended for use with a third-party platform or service that is broadly available to the public or commercially available to other customers.
“Private Integration” means an integration, connector, or code component developed specifically to connect a Customer Bot to Customer’s internal systems, private services, private APIs, proprietary environments, or other customer-specific infrastructure.
“Background IP” means all intellectual property, technology, software, code, templates, workflows, tools, methodologies, documentation, and materials that (i) are owned or developed by a party prior to the effective date of the Order Form, or (ii) are developed independently of the Managed Plan Services, including any improvements, updates, or derivative works of the foregoing.
As between the Parties, Botpress retains all right, title, and interest in and to Botpress’ Background IP, including the Software, the Software Services, the ADK, Botpress Content, and any improvements or modifications thereto, whether or not developed in connection with Managed Plan Services.
The Customer retains all right, title, and interest in and to Customer Data and Customer Materials The Customer owns all right, title, and interest in and to the Customer Bot Deliverables.
Notwithstanding the above, Botpress owns all right, title, and interest in and to any Public Integration, and the Customer receives a license to use such Public Integration solely as part of the Customer’s authorized use of the Software Services under the Agreement.
The Customer owns all right, title, and interest in and to Private Integrations created specifically for the Customer as part of the Customer Bot Deliverables.
Customer may use, reproduce, modify, and create derivative works of the Customer Bot Deliverables for Customer’s internal business purposes on a perpetual, worldwide, non-exclusive, royalty-free basis.
The Customer will not (and will not permit any third party to):
The Customer grants Botpress a perpetual, worldwide, non-exclusive, irrevocable, royalty-free license to use, reproduce, modify, create derivative works of, distribute, and otherwise exploit any Customer Bot Deliverables for the purpose of providing services to the Customer and other customers, and for Botpress’ internal business purposes, including improving its products and services. Botpress will not use or disclose Customer Confidential Information or Customer Data except as permitted under the Agreement or in writing by the Customer.
Upon termination or expiration of the Managed Plan Services, the Customer may retain the Customer Bot Deliverables it received or accessed during the term, subject to Customer’s ongoing compliance with this Addendum and the Agreement.
The Customer acknowledges and agrees that, following termination or expiration of the Managed Plan Services:
Botpress is not required to make the Customer Bot Deliverables operable outside of the Botpress Software, Software Services or ADK environment.
Except as expressly stated in the Agreement, Botpress makes no additional warranties regarding the Customer Bot Deliverables or Managed Plan Services, and disclaims all implied warranties to the maximum extent permitted by applicable law.
In the event of conflict in connection with Managed Plan Services and Customer Bot Deliverables between the Order Form, this Addendum, and the Terms, the following order of precedence applies solely with respect to Managed Plan Services and Customer Bot Deliverables:
Botpress may update this Addendum from time to time by publishing an updated version in its legal portal (https://botpress.com/legal). Updates will apply only to new Order Forms entered into after the effective date of the updated Addendum unless otherwise agreed in writing.
