BOTPRESS GENERAL CONTEST TERMS AND CONDITIONS

These General Contest Terms and Conditions (the “General Terms”) govern all contests, hackathons, challenges, and competitions (each, a “Contest”) organized or sponsored by Botpress Technologies Inc. or Botpress, Inc. (collectively, “Botpress” or the “Sponsor”). 

Each Contest is also subject to event-specific Supplementary Rules (the “Supplementary Rules”), which are incorporated into and form part of these General Terms. The Supplementary Rules for each active and past Contest may be accessed directly from the links in Schedule A to these General Terms. In the event of a conflict between these General Terms and the applicable Supplementary Rules, the Supplementary Rules shall prevail to the extent of such conflict.

1. Definitions

“Contest Period” means the entry period for a Contest, as specified in the applicable Supplementary Rules.

“Entrant” means any individual or team that enters a Contest in accordance with these General Terms and the applicable Supplementary Rules.

“Prize” or “Prizes” means the prize(s) offered in connection with a Contest, as described in the applicable Supplementary Rules.

“Submission” means any project, code, application, presentation, demonstration, or other materials submitted by an Entrant as part of a Contest.

“Winner” means the Entrant(s) selected to receive a Prize, subject to verification of eligibility and compliance with these General Terms.

Capitalized terms used but not defined in these General Terms or the applicable Supplementary Rules shall have the meanings ascribed to them in the Botpress Terms of Service, available at botpress.com/legal/terms-of-service

2. Eligibility

2.1.  Unless otherwise specified in the applicable Supplementary Rules, Contests are open to individuals who are: 

  1. at least 18 years of age or the age of majority in their jurisdiction of residence, whichever is greater, at the time of entry; and 
  2. legally capable of entering into a binding contract.

2.2.  The following persons are not eligible to enter any Contest: 

  1. directors, officers and employees of Botpress and its parent companies, subsidiaries, or affiliates; and
  2. members of the immediate family of any such person.

2.3.  Contests are void where prohibited or restricted by law. Entrants are solely responsible for determining whether they are legally eligible to participate in and receive Prizes from a Contest under the laws applicable to them in their jurisdiction of residence.

2.4.  Without limiting the foregoing, Contests are not open to residents of, or persons ordinarily domiciled in, jurisdictions subject to comprehensive economic sanctions imposed by Canada (under the Special Economic Measures Act) or the United States (administered by the Office of Foreign Assets Control), including but not limited to Cuba, Iran, North Korea, Russia, and the Crimea, Donetsk, and Luhansk regions of Ukraine. The Supplementary Rules may specify additional geographic restrictions or eligibility requirements for a specific Contest.

2.5.  Botpress reserves the right to verify the eligibility of any Entrant at any time. Participation in a Contest constitutes the Entrant’s agreement to these General Terms and the applicable Supplementary Rules.

3. How to Enter

3.1.  To enter a Contest, Entrants must complete the entry process described in the applicable Supplementary Rules during the Contest Period. All entries must be received by the deadline specified in the Supplementary Rules. Late, incomplete, or non-conforming entries will not be accepted.

3.2.  There is no fee to enter any Contest. No purchase or payment of any kind is necessary to enter or win.

3.3.  Entries must be submitted by the Entrant personally. Entries made by any other individual or entity, or by any automated means, will be disqualified. Proof of submission is not proof of receipt. Botpress is not responsible for lost, late, misdirected, incomplete, illegible, or unintelligible entries.

3.4.  All Entrants must comply with the Code of Conduct set out in Section 5 of these General Terms.

4. Submissions and Intellectual Property

4.1.  All Submissions must be the original work of the Entrant. Submissions must not infringe, misappropriate, or violate any third party’s intellectual property rights, privacy rights, or any applicable law.

4.2.  Entrants retain all ownership rights in their Submissions. By entering a Contest, each Entrant grants Botpress a non-exclusive, worldwide, royalty-free, perpetual, irrevocable license to use, reproduce, display, distribute, and create derivative works of the Submission solely for the purposes of administering, promoting, and publicizing the Contest, including but not limited to displaying Submissions on Botpress’s website, social media channels, and promotional materials.

4.3.  Open-source libraries and frameworks may be used in Submissions, provided that: 

  1. the Entrant complies with all applicable open-source license terms; and 
  2. the Entrant clearly identifies all third-party components in the Submission.

4.4.  The applicable Supplementary Rules may specify additional intellectual property terms, including whether Submissions must be released under a particular open-source license.

5. Code of Conduct

5.1.  Botpress is committed to providing a welcoming and inclusive environment for all Contest participants. All Entrants must treat fellow participants, judges, organizers, and volunteers with respect and professionalism.

5.2.  The following conduct is strictly prohibited and will result in immediate disqualification:

  1. harassment, intimidation, or discrimination of any kind;
  2. use of offensive, vulgar, or threatening language or imagery;
  3. any form of cheating, plagiarism, or misrepresentation;
  4. unauthorized access to systems, data, or other participants’ work;
  5. any conduct that violates applicable laws or the Botpress Terms of Service; and
  6. any conduct that disrupts the Contest or creates an unsafe or hostile environment.

5.3.  Botpress reserves the right, in its sole discretion, to disqualify any Entrant who violates this Code of Conduct or whose participation is disruptive, harmful, or contrary to the spirit of the Contest.

6. Judging and Winner Selection

6.1.  Contests are competitions of skills and winners are selected based on the judging criteria specified in the applicable Supplementary Rules.

6.2.  Judging will be conducted by the judges identified in the Supplementary Rules. All judging decisions are final and binding. Botpress reserves the right to select fewer Winners than the number of Prizes available if, in its sole discretion, it determines that an insufficient number of eligible, qualifying Submissions have been received.

6.3.  In the event of a tie, the tied Entrants may be evaluated on additional criteria specified in the Supplementary Rules or, if no such criteria are specified, on such criteria as the judges may determine in their sole discretion.

7. Skill-Testing Question

7.1.  In order to be declared a Winner, each selected Entrant must correctly answer, without assistance, a mathematical skill-testing question administered by Botpress or its designee.

7.2.  If a selected Entrant fails to correctly answer the skill-testing question, the Entrant will be disqualified and an alternate Winner may be selected in accordance with these General Terms.

8. Winner Notification and Verification

8.1.  Potential Winners will be notified by the method and within the timeframe specified in the applicable Supplementary Rules. If no method is specified, notification will be by email to the address provided at the time of entry.

8.2.  Each potential Winner may be required to: 

  1. confirm eligibility;
  2. correctly answer the skill-testing question as described in Section 7;
  3. sign and return a declaration of compliance, liability release, and where permitted by law, a publicity consent form; and
  4. provide any tax forms required by applicable law.

8.3.  If a potential Winner cannot be reached within 7 days of the first notification attempt, fails to comply with any of the requirements in Section 8.2 within the time specified, is found to be ineligible, or has violated these General Terms, the potential Winner will be disqualified and Botpress may, in its sole discretion, select an alternate Winner.

9. Prizes

9.1.  The number, type, and approximate retail value of Prizes available for each Contest are specified in the applicable Supplementary Rules.

9.2.  Prizes are non-transferable and must be accepted as awarded. No substitution of Prizes is permitted, except that Botpress reserves the right to substitute a Prize of equal or greater value if the advertised Prize becomes unavailable for any reason.

9.3.  Prizes will be delivered within the timeframe specified in the applicable Supplementary Rules. If no timeframe is specified, Prizes will be delivered within 90 days following Winner verification.

10. Taxes

10.1.  Winners are solely responsible for all federal, provincial, state, local, and foreign taxes, duties, and other levies arising from the receipt or use of any Prize, including without limitation income taxes, goods and services taxes, and any reporting obligations.

10.2.  Botpress may require Winners to provide tax identification information prior to Prize delivery. Failure to provide requested tax information within the time specified may result in forfeiture of the Prize.

10.3.  Winners are responsible for complying with all foreign exchange, banking, and tax regulations in their respective jurisdictions, including reporting the receipt of the Prize to relevant government departments or agencies where required.

11. Privacy and Data Collection

11.1.  Botpress collects, uses, and discloses personal information provided by Entrants in connection with a Contest in accordance with the Botpress Privacy Statement, available at https://botpress.com/legal/privacy-statement, and as described in these General Terms.

11.2.  Personal information collected from Entrants will be used for the purposes of administering the Contest, verifying eligibility, selecting Winners, delivering Prizes, and as otherwise described in the applicable Supplementary Rules. Botpress will not use Entrants’ personal information for unrelated marketing purposes without their express opt-in consent.

11.4.  Personal information collected from Entrants may be stored and processed in Canada or the United States, where it may be subject to the laws of that jurisdiction. By entering a Contest, Entrants consent to such transfer and processing.

12. Publicity

12.1.  Acceptance of a Prize constitutes the Winner’s consent for Botpress to use the Winner’s name, likeness, photograph, biographical information, Submission, and statements about the Contest for advertising and promotional purposes, in any media, without additional compensation.

13. Limitation of Liability and Disclaimers

13.1.  TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, BOTPRESS, ITS PARENT COMPANIES, SUBSIDIARIES, AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND REPRESENTATIVES (COLLECTIVELY, THE “RELEASED PARTIES”) SHALL NOT BE LIABLE FOR:

  1.  ANY INJURY, LOSS, OR DAMAGE OF ANY KIND ARISING FROM OR IN CONNECTION WITH PARTICIPATION IN A CONTEST OR THE ACCEPTANCE, USE, OR MISUSE OF ANY PRIZE;
  2. TECHNICAL FAILURES OF ANY KIND, INCLUDING MALFUNCTIONS OF COMPUTER EQUIPMENT, SOFTWARE, OR TELECOMMUNICATIONS SYSTEMS;
  3. UNAUTHORIZED HUMAN OR NON-HUMAN INTERVENTION IN ANY PART OF THE CONTEST; OR
  4. ERRORS IN THE ADMINISTRATION OF THE CONTEST OR THE PROCESSING OF ENTRIES.

13.2.  IN NO EVENT SHALL THE RELEASED PARTIES’ TOTAL AGGREGATE LIABILITY IN CONNECTION WITH ANY CONTEST EXCEED THE TOTAL VALUE OF THE PRIZES OFFERED IN THAT CONTEST, AS SPECIFIED IN THE APPLICABLE SUPPLEMENTARY RULES.

13.3.  PRIZES ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

14. Indemnification

14.1.  Each Entrant agrees to indemnify, defend, and hold harmless the Released Parties from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from or relating to:

  1. the Entrant’s participation in the Contest;
  2. the Entrant’s Submission, including any claim that the Submission infringes or misappropriates any third party’s intellectual property rights;
  3. the Entrant’s breach of these General Terms or the applicable Supplementary Rules; or
  4. the Entrant’s violation of any applicable law.

15. General Provisions

15.1.  Governing Law and Jurisdiction. If the Entrant resides in Canada, these General Terms are governed by and construed in accordance with the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any dispute arising from or in connection with these General Terms shall be submitted to the exclusive jurisdiction of the courts of the Province of Quebec, sitting in the judicial district of Montreal. If the Entrant resides outside of Canada, these General Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles. Any dispute shall be submitted to the exclusive jurisdiction of the courts located in the State of Delaware.

15.2.  Jury Trial Waiver. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, EACH ENTRANT HEREBY WAIVES THE RIGHT TO A JURY TRIAL OF ANY CLAIM OR CAUSE OF ACTION ARISING OUT OF OR IN CONNECTION WITH THESE GENERAL TERMS OR ANY CONTEST.

15.3 Severability.  If any provision of these General Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

15.4.  Entire Agreement. These General Terms, together with the applicable Supplementary Rules and the Botpress Privacy Statement, constitute the entire agreement between the Entrant and Botpress with respect to each Contest and supersede all prior or contemporaneous communications and proposals.

15.5.  Amendments. Botpress reserves the right to amend these General Terms at any time. Amendments will be effective upon posting to Botpress’s legal portal (https://botpress.com/legal). For any Contest that is already in progress at the time of an amendment, the version of these General Terms in effect at the start of the Contest Period shall continue to apply to that Contest.

15.6.  Right to Cancel or Modify a Contest. Botpress reserves the right, in its sole discretion, to cancel, suspend, or modify any Contest if fraud, technical failures, or any other factor beyond Botpress’s reasonable control impairs the integrity or proper functioning of the Contest. In any such event, Botpress may select Winners from eligible entries received prior to the cancellation or suspension.

15.7.  Relationship of Parties. Nothing in these General Terms creates a partnership, joint venture, agency, employment, or other relationship between Botpress and any Entrant.
